Custom Terms of Use (EULA) — PrimeAgent LLC

Effective date: September 4th, 2025

Acceptance of Terms

By accessing or using the LevelUp application and related services (the “Service”), you agree to be bound by these Terms of Use (the “Terms”). If you do not agree, do not use the Service.

Eligibility

You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Service. If you are under 18, you represent that you have permission from a parent or legal guardian.

Account; Access

You are responsible for maintaining the confidentiality of your account and for all activities under it. PrimeAgent LLC may suspend or terminate access for violations of these Terms or for suspected fraud, abuse, or security risks.

License Grant

Subject to these Terms, PrimeAgent LLC grants you a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes. All rights not expressly granted are reserved.

Prohibited Uses

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Use the Service for commercial purposes without written permission (including reselling, sublicensing, or scraping).
• Upload or generate content that is illegal, infringing, harmful, harassing, hateful, violent, or otherwise violates third-party rights.
• Circumvent technical measures, disrupt or overload the Service, or attempt unauthorized access.
• Use the Service to create content that violates platform or app store policies or applicable law.

AI-Generated Content and Ownership

• Your Inputs: You retain all rights in prompts, text, and materials you submit (“User Inputs”).
• Generated Outputs: Subject to third-party rights and applicable law, PrimeAgent LLC assigns to you any rights it may have in images or other content generated for you by the Service (“Outputs”), to the extent permitted by law and third-party provider terms. Outputs may not be unique; others may generate similar content.
• License to PrimeAgent LLC: You grant PrimeAgent LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, and create derivative works from your Inputs and Outputs as needed to operate, improve, and provide the Service (including in in-app galleries), and to comply with legal obligations and takedown requests.
• Your Responsibilities: You are solely responsible for ensuring your Inputs and use of Outputs comply with these Terms and do not violate any rights or laws (e.g., copyright, trademarks, publicity rights).

User Content; Moderation; Takedowns

PrimeAgent LLC may remove or disable content at its discretion for violations of these Terms or law. To request removal or to send a DMCA notice/counter-notice, contact: contact@primeagent.org.

Subscriptions; In‑App Purchases; Trials

• Auto-Renewal: The Service may offer auto-renewing subscriptions billed to your Apple ID. Your plan renews automatically unless canceled at least 24 hours before the end of the current period.
• Billing and Management: Billing is handled by Apple. Manage or cancel in Settings > [your name] > Subscriptions. Refunds are handled by Apple where required.
• Pricing and Period: Prices and durations are displayed in-app and may vary by region. We may change pricing or features with notice as required by law; changes take effect on the next subscription period.
• Trials (if offered): If a free trial is offered, any unused portion ends upon purchase.
• Entitlements: Access to premium features is contingent on an active subscription and successful verification with Apple’s services.

The Service provides motivational and habit tools for general wellness and entertainment. It is not medical, psychological, legal, or professional advice. Do not rely on the Service for diagnosis or treatment. Use at your own risk.

Disclaimers

THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY. PRIMEAGENT LLC DOES NOT WARRANT THAT OUTPUTS WILL BE UNIQUE OR FREE OF THIRD-PARTY CLAIMS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIMEAGENT LLC, ITS AFFILIATES, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. IN NO EVENT SHALL PRIMEAGENT LLC’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR USD $100, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS; YOUR RIGHTS MAY VARY.

Indemnification

You will indemnify and hold harmless PrimeAgent LLC and its affiliates from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, or your breach of these Terms.

Third-Party Services

The Service may integrate with third parties (e.g., OpenAI or similar AI providers, RevenueCat, Apple, Supabase, analytics). PrimeAgent LLC is not responsible for third-party services, which are subject to their own terms and privacy policies.

Governing Law; Dispute Resolution

These Terms are governed by the laws of [State/Country—please specify], without regard to conflict of laws. Any dispute shall be resolved in the courts located in [Venue—please specify], unless arbitration is mutually agreed or required by law. If you want binding arbitration and class-action waiver, tell us and we’ll add a clause.

Changes to the Service; Terms

We may modify the Service and these Terms from time to time. Material changes will be communicated by in-app notice or email where feasible. Your continued use after changes become effective constitutes acceptance.

Termination

We may suspend or terminate your access at any time for violations of these Terms, legal risk, or discontinuation of the Service. Upon termination, your license ends and you must stop using the Service.
